1. Acceptance of Terms
By downloading, installing, or using the Nexus Ivy mobile application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and Nexus Ivy LLC ("Nexus Ivy," "we," "us," or "our").
We reserve the right to update these Terms at any time. We will notify you of material changes with at least 30 days' notice via push notification or email. Continued use of the Service after the effective date of changes constitutes acceptance.
2. Eligibility
Nexus Ivy is open to everyone. To use the Service you must:
- Be at least 13 years of age
- If you are under 18 (or the age of majority in your jurisdiction), use the Service only with the consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service, including all purchases
- Use a payment method you are authorized to use
You may optionally add a valid .edu email address issued by an accredited institution to your profile. No part of the Service is currently restricted to verified students. Providing false information is a violation of these Terms and may result in immediate account termination. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@nexusivy.com if you suspect unauthorized access to your account.
You may not create more than one account per person. Accounts are non-transferable. We reserve the right to terminate accounts that are inactive for more than 24 consecutive months.
4. Orders and Payments
Placing an order: When you place an order through Nexus Ivy, you are entering into a transaction with the partner restaurant. Nexus Ivy acts as a technology platform facilitating that transaction and is not the seller of the food.
Pricing: Menu prices are set by partner restaurants and may change without notice. The price displayed at the time you place an order is the price you will be charged. Orders must meet a minimum subtotal of $5, before tip. Nexus Ivy does not add a service fee, a small-order fee or any markup to your order.
Payment: All payments are processed securely by Stripe. By providing a payment method, you authorize Nexus Ivy to charge that method for your order total. You represent that you are authorized to use the payment method provided.
Refunds and cancellations: Refunds and cancellations are governed by our Refund & Cancellation Policy, which is part of these Terms.
5. NI Points Loyalty Program
The NI Points program is not currently active. Points cannot be earned or redeemed at this time. This section describes how the program will operate if and when Nexus Ivy switches it on, and it takes effect only from that date.
NI Points are earned on eligible purchases. Points earned at a partner restaurant can be redeemed only for that restaurant's rewards, as described in the app. There is no platform-wide points balance and points cannot be moved between restaurants. Nexus Ivy may also award bonus points through promotions, which can be redeemed as described in each promotion. Points have no cash value and cannot be transferred, sold, or redeemed for cash. Nexus Ivy reserves the right to modify, suspend, or terminate the NI Points program at any time with 30 days' notice. Points expire 365 days after the date they are earned, unless the issuing restaurant's program states a different period. Fraudulently obtained points will be forfeited and may result in account termination.
6. Dorm Pool Group Ordering
Dorm Pool group ordering is not available. It is a planned feature, and it is not part of the Service today. If we launch it, these Terms will be updated to describe how it works before you can use it.
7. Food Safety and Allergens
Menu items and allergen information are provided by partner restaurants. Nexus Ivy is not responsible for the accuracy of allergen information listed on restaurant menus. If you have severe food allergies, contact the restaurant directly before placing an order. Nexus Ivy's menu display is provided as a convenience and is not a medical service. Do not rely on it as your sole safeguard against allergen exposure.
8. Prohibited Conduct
You agree not to:
- Create multiple accounts or share your account with others
- Submit fraudulent orders, false refund requests, or manipulate the NI Points system
- Attempt to reverse-engineer, scrape, or extract data from the Service
- Use automated tools (bots, scripts) to interact with the Service
- Harass, threaten, or abuse restaurant staff or Nexus Ivy team members
- Attempt to circumvent payment or exploit pricing errors
- Violate any applicable local, state, or federal law
Violations may result in immediate account suspension or termination, forfeiture of NI Points, and referral to law enforcement where appropriate.
9. Intellectual Property
The Nexus Ivy name, logo, app design, and all original content are the property of Nexus Ivy LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any Nexus Ivy content without written permission.
By submitting reviews, photos, or other content through the Service, you grant Nexus Ivy a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with the Service.
10. Third-Party Services
Nexus Ivy integrates with third-party services including Stripe (payments), Firebase (database and authentication), Apple Pay, and Google Pay. Your use of these services is subject to their respective terms and privacy policies. Nexus Ivy is not responsible for the acts or omissions of third-party service providers.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NEXUS IVY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NEXUS IVY IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR ANY OTHER ASPECT OF THE FOOD PROVIDED BY PARTNER RESTAURANTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS IVY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEXUS IVY IN THE 90 DAYS PRECEDING THE CLAIM, OR (B) $100. NEXUS IVY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Indemnification
You agree to indemnify and hold harmless Nexus Ivy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You waive your right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
15. Termination
You may delete your account at any time through the app (Profile → Settings → Delete Account) or by emailing support@nexusivy.com. We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for any other reason with reasonable notice. Upon termination, your NI Points and any pending rewards are forfeited.
